Fairness in corporate taxation is easier to discuss responsibly when the mechanism is visible. A January 18 IRS and Treasury publication explains how certain shares are excluded from an inversion ownership calculation. The existence of an anti-avoidance rule does not show that a particular company behaved improperly, or that every foreign acquisition is an inversion. [2017-00643][2016-07300]

The final section generally excludes disqualified stock from the denominator of the ownership fraction. It also limits that classification: specified exchange conditions must be met, and disqualification extends only as far as the exchange increases asset fair value or decreases liabilities. Evaluating that exchange separately prevents a loose description of the overall deal from replacing the actual test. [2017-00643][2016-07300]

A small-owner exception recognizes another boundary. It requires both a specified ownership percentage below five by vote and value, without designated exclusions, and an individual test for each former domestic owner. With prescribed attribution, each must remain below five percent by vote and value in each expanded affiliated group member. A principal purpose of avoiding section 7874 can nevertheless defeat the exception. [2017-00643][2016-07300]

The group's timing comes from April 2016 temporary definitions incorporated by the January section: completion includes the acquisition and its related transactions. These details support an ethical distinction between judging conduct by defined conditions and condemning it by association. The two documents belong to one regulatory chain. They offer no independent evidence of recovered revenue, preserved livelihoods or any named taxpayer's intentions. [2017-00643][2016-07300]
