An investment fund’s obligations run in more than one direction. It must attend to shareholders seeking redemption without overlooking the interests of shareholders who stay. The SEC’s final liquidity rule, published November 18, 2016, explicitly connects those concerns: it aims to reduce redemption risk and mitigate dilution, rather than promise that difficult market conditions will vanish. [2016-25348]

The requirement to establish liquidity programs applies to registered open-end management investment companies, including open-end ETFs, but not money-market funds. Qualifying In-Kind ETFs are exempt from portfolio liquidity classification and the highly liquid investment minimum. Respecting these boundaries is part of an honest account of protection; a broad assurance about all funds would conceal material differences. [2016-25348]

The October 2015 proposal treated an illiquid-asset limit and a proposed three-day liquid-asset minimum as complementary tools. That rationale helps explain why preparedness and portfolio constraints were considered together. The proposal remains an earlier stage, not proof that every proposed feature became final. Reading it alongside the final rule traces one agency’s reasoning, not independent corroboration of successful results. [2016-25348][2015-24507]

Our stewardship reading is modest: a rule can organize responsibility without removing uncertainty. General effectiveness on January 17, 2017 is distinct from later size-based program compliance, so neither publication nor effectiveness proves universal implementation. The documents support asking how a fund manages competing shareholder interests. They cannot establish that every investor will receive an untroubled redemption, or that the costs of market stress have ceased to matter. [2016-25348]
